Appendix 2: Category Definitions for Restricted Party Screening
Collaborator

A person who assists in the scientific development or execution of a project for research activities. A Collaborator can be internal or external. External Collaborators may be paid or unpaid. For purpose of restricted party screening, this includes both the person and their employer.

Consultant

A person, outside of Stony Brook University, who provides professional advice and/or services and may be paid or unpaid. For purpose of restricted party screening, this includes both the person and their employer.

Employee

A U.S. person or foreign person employed, as per the Internal Revenue Service guidelines, by the University.

Independent Contractor

As qualified by IRS regulations, a person or business that provides services to the University.

Material Transfer Agreement

A party to an agreement that governs the transfer of tangible research materials between the University and a third party.

Memorandum of Understanding

A party to a document outlining the terms and details of an agreement between parties, including each party’s requirements and responsibilities, for academic and research exchange.

Non-Disclosure Agreement

A party to an agreement between the University and a third party related to research purposes that signifies a confidential relationship exists between the parties involved. This category does not include U.S. pharmaceutical companies where the NDA is for the purpose of sharing a clinical trial protocol.

Other License Agreement

A party to any other agreement between the University and a third party for the purpose of establishing the University’s rights related to the item or technology to be transferred or purchased by the third party.

Shipment Receiver

A party to a shipment from the University. This includes parties that are part of a trans-shipment.

Software License Agreement

A party to an agreement between the University and a third party, establishing the University’s rights related to the software to be transferred or shared with the third party.

 Sponsor

A third party funder of research or educational/training activities. This category does not include third parties that are procuring professional development or academic services from the University.

Subcontractor/Sub-recipient

A party that receives flow-through funds from the University for research purposes.

Supplier/Vendor

Any U.S. or foreign entity from whom the University might purchase items or services.

Technical Service Provider

An entity that provides non-academic and non-intellectual services to the University.

Visitors

A person that is neither salaried by the University nor a student accepted into a formal program of study at the University.

Wire Payment

A party involved in an outgoing international wire payment.
